Is Proton VPN owned by Tesonet?
The company claims to be headquartered in Germany.
However, the address of its headquarters for tax purposes are that of a company located in the US Virgin Islands, namely St. Thomas
This raises the question, does Proton VPN actually exist? It seems that at least some of the company's services seem to be hosted at Tesonet's servers, and therefore owned by them. Since the beginning, Tesonet has been an American VPN network provider. Tesonet has operated as an American subsidiary of Netia and owned by the American Internet Service Providers Association (ASPA) under the name: "AISPIA Inc. From March 2025 until August 2025.
Currently, its service appears to be run as its own independent business entity through a new holding company it created named Proton LLC and is a newly registered corporation at St. Thomas in the US Virgin Islands. Its parent company is also unknown. So far, at least, they have yet to explain where the company came from and how it is able to operate as an independent business without being directly associated with them.
What appears to be going on is that while Proton does in fact own and operate the Tesonet brand, in reality it's likely that Proton was only meant to lease it while the lease is still in place. Once the period ends, the company might decide to renew it. Or, perhaps they might not. Either way, whether they renew or walk away, they'll still continue operating the network as Tesonet under the same terms and conditions. And they will retain full control and ownership of it even though their agreement with Tesonet might end or expire.
In this article we are looking specifically at the Tesonet privacy policy, which, in order to function properly, clearly needs a specific set of rights and conditions which need to be respected. Some points are very clear: The privacy policy is available to any potential customer of Tesonet. It mentions that anyone visiting or purchasing this privacy policy is agreeing to be bound by all of it (unless such visitor has opted out of specific parts).
The terms and conditions require individuals to confirm that they understand and accept that they are entering into a legal contract with the company and will be paying and receiving money from the company as agreed. They must give notice if there is any change to the company's terms and conditions.
Why is NordVPN in Panama?
The answer is simple: It's not in Panama.
They have no office or presence of any kind in Panama, nor are they registered there. They have offices in Hong Kong and the US. It's true that they had a business address there, but it's not their corporate headquarters. Not in the eyes of the Panamanian tax agency. So, why are they registered there? As they tell you at checkout, that's to comply with all existing laws in whatever jurisdictions they operate from. That's true. But it doesn't actually protect them. It's like telling the authorities that you are a law abiding citizen from California while having a record of over a hundred misdemeanor arrests. Yes, it complies, but it also gives the bad guys everything they need to attack.
Why is NordVPN in Costa Rica? They aren't. Costa Rica isn't even on their lists. They are in the Central American country because they did so at a specific time with a specific purpose. They wanted to have that Costa Rican address because that gave them a certain level of legitimacy, which they were looking for since the beginning of their venture. This is the first stage, it does not make them a Costa Rican company. So they have been paying annual subscription to register their company there. What they have done in return is pay some money to the local public prosecutor to have the address changed to Hong Kong. In return, they get something for nothing; a green light for what they do. In effect, they get their first license and the opportunity to expand from there. As they have done so in other places across the globe, they have expanded their operations. A new office and an employee are now there to ensure smooth sailing as a company grows. These employees are working for a contract basis because this company is only temporary. For now, that's all.
They don't even have a registered company name in Panama, which is required for legal protection for their staff and business documents. It's a little odd, to say the least.
You're not going to find anything more legit in Panama than what NordVPN is doing. And, even if it's perfectly legit, Panama laws require that you actually have an office and staff in Panama, where they can get their taxes paid.
