What is a proxy in an AGM meeting?

A proxy is someone who doesn't want to be on the agenda of a meeting or just wants to attend a meeting with an official representative.

Proxies are permitted to attend meetings in place of the person whose name is on the agenda. Someone may object to a proxy being allowed to speak and the proxy's application may then be reviewed by the Secretary of the AGM and his/her vote cast.

Where does the Proxy stand? If approved, the Proxy receives all information regarding the proposed agenda and what actions can be taken during the AGM meeting. The Proxy has full access to that information, including all documents, and has the right to raise objections if the Proxy believes the agenda needs to be revised to reflect all pertinent information that is known or learned, at the time of the voting. It's a gray area. It's illegal and you could face penalties, but it's very unclear as to what the penalties are, how far they go, and who enforces them.

In such circumstances, it would be inappropriate to use proxy voting to facilitate the election of directors at the time of the listing and first trading on the Australian Securities Exchange or any other domestic exchange.
